Terms of Service

Effective August 27, 2026. This version replaces all earlier versions.

These terms are an agreement between you and Pie Divide (“we”, “us”) governing your use of piedivide.com and app.piedivide.com (the “Service”). By creating an account you accept them. If you do not accept them, do not use the Service.

1. What the Service is

Pie Divide is software that helps a founding team negotiate, assess, and record how they divide ownership. It computes a proposed split from the weights your team agrees and the assessments each founder submits, and it keeps the record of how that outcome was reached. The output depends entirely on your team’s inputs — it is your team’s judgement, structured, not ours.

2. What the Service is not

Pie Divide is not a law firm, an accountancy practice, an investment adviser, or a broker, and nothing it produces — including the computed split, the checklist, and any document or figure it displays — is legal, tax, accounting or investment advice. It does not incorporate your company, issue shares, file elections, or draft agreements. A finalized split has no legal effect on its own; to give it one, engage a lawyer. Deadline-sensitive items mentioned in the product (such as the 83(b) election window) are pointers to ask a professional about, not advice that they apply to you.

3. Eligibility and accounts

You must be at least 18 and able to enter a contract. Each founder must use their own account — the assessment process depends on one person per account — and you are responsible for keeping your credentials secure and for activity under your account. Provide accurate information; impersonating someone else is grounds for closure.

4. Your content

You own the data you and your team put into the Service. You grant us the license needed to operate it — to store your data, process it, and show it to the people on your projects — and nothing more. We do not sell your data. On a shared project, every member can see the project’s data as described in the Privacy Policy, and a finalized project’s record remains with the team even if one member later leaves or deletes their account.

5. Fees

Creating projects and running a split on the standard weights is free. The paid version of a project is a one-time charge at the price shown before you pay — no subscription, no recurring charge. Payments are processed by Stripe. Prices may change, but never for something you have already bought. If a payment succeeds and what you paid for is not delivered, contact us and we will deliver it or refund the payment. Taxes required by law are your responsibility where we are not required to collect them.

6. The partner directory

Professionals listed in the directory are independent businesses, not our employees, agents or partners in the legal sense. We check that applications are factually consistent before listing; we do not evaluate the quality of anyone’s work, rank anyone by rating, accept payment for placement, or recommend one professional over another. The order of the directory is determined by the disclosed, non-purchasable factors shown alongside it. Any engagement, and any fee for that engagement, is strictly between you and the professional. Listed professionals pay us a flat, uniform fee per accepted introduction; that fee is the same for every listed business and is never a share of what they bill you.

7. Affiliate links

Some links in the Service to third-party platforms (for example company formation, banking, or payroll services) are affiliate links, and we may earn a commission if you sign up through them. They are labelled where they appear, they are separate from the partner directory, and they are never links to legal services.

8. Acceptable use

Do not use the Service to break the law, to harass people, to probe or disrupt its security or its infrastructure, to scrape other users’ data, or to misrepresent who you are — including in a partner application. We may suspend or close accounts that do, and we may remove partner listings that violate the listing rules.

9. Availability and changes to the Service

We work to keep the Service available and your data intact, but we do not promise uninterrupted availability, and we may change or discontinue features. If we ever discontinue the Service as a whole, we will give you reasonable notice and a way to export your project records.

10. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Without limiting section 2: your equity split is your team’s decision, and we are not responsible for the consequences of adopting it.

11. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Service. Our total liability for any claim arising out of the Service is limited to the greater of $100 and the amount you paid us in the twelve months before the claim arose. Some jurisdictions do not allow parts of this limitation, in which case it applies to the fullest extent permitted.

12. Termination

You can stop using the Service, or ask us to delete your account, at any time. We may suspend or close an account for breach of these terms. Sections that by their nature should survive closure — including your team’s rights in a shared record, fees owed, disclaimers, and limitation of liability — survive it.

13. Governing law and disputes

These terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules, and disputes will be brought in the state or federal courts located in Colorado. Before filing anything, contact us — most problems are fixable faster than a filing.

14. Changes to these terms

If we change these terms materially, we will post the new version here with a new effective date and note the change in the app. Continuing to use the Service after the effective date is acceptance of the revised terms.
